John N. Spicer
John N. Spicer, born June 7, 1962; admitted to bar, 1991, Texas, 1996
Nebraska, and 2004 Virginia; U.S. District Court in the Southern
District of Texas. Education: South Texas College of Law, (J.D. 1990);
Stephen F. Austin State University (B.A. 1985).
Real Estate.
Mr. Spicer has practiced
for 13 years, representing a variety of commercial enterprises and
individuals. He has been involved is most aspects of real estate
including the negotiations and drafting of letters of intent, contracts
to purchase, lease agreements, lease with options to purchase,
contracts for deed and various other real estate transactional matters.
He has handling closings and represented both buyers and sellers at
settlement from the first time home buyer to the purchase of
multi-million dollars commercial properties.
Litigation.
Mr. Spicer has first chair
trials in personal injury, commercial and business litigation cases and
has successfully resolved suits involving contract interpretation,
covenants not to compete, security and investment litigation, deceptive
trade practice acts, breach of warranty claims as well as real property
and title disputes.
Entity Choice and Corporate Representation.
Mr. Spicer also has a great deal of experience handing corporate
formation, structure and merger and acquisition. He has represented
both buyers and sellers of commercial properties and has drafted
appropriate documents, filed the necessary applications with
regulators, and negotiated prices and adjustments of prices. His
representation has also included legal analysis of the valuation of the
business and recommendation as to whether a stock sale or asset sale is
called for, the adjustments available in the contract price, and the
likely application of tax law to the transaction. Mr. Spicer is
therefore also available to assist in preparing exit strategies for
owners who intend to sell in the future, or to pass the business along
to family members. He further possesses the ability to analyze the
structure of a business and ascertain the entity structure most suited
to the owners' needs. Companies represented include corporations,
partnerships, limited partnerships, limited liability companies, close
corporations, and associations, among many others. As one of the named
partners, Mr. Spicer is a business owner. He is intimately familiar
with the considerations of business ownership, and the practical
aspects of the legal analysis he performs. He has represented
corporations, and served as the corporate secretary of a corporation,
and has exercised the creativity necessary to tailor entity structure
to maximize the return to the owner. As a result, he is familiar both
with the day to day compliance and the long term vision of the
corporate owner.

Mr. Spicer has served in house as corporate counsel for professional
employer organizations and a real estate development company. He has
held N.A.S.D. Series 7 securities license.
Mr. Spicer is a member of the Virginia Bar Association, the Texas Bar
Association, the Nebraska Bar Association, the Houston Bar Association,
and the Houston Trial Lawyers Association.
Hobbies. Outside of the practice, Mr. Spicer enjoys golf, fishing and
water sports.
